We provide assistance to companies in complying with Securities and Exchange Board of India ("SEBI")  regulations and guidelines issued from time to time (SEBI is the body regulating the Indian securities market).  We advise on Public Issue of shares in India and abroad through GDRs and such similar instruments.  Our team assists Foreign Institutional Investors ("FIIs") on regulatory compliance issues with regulators such as SEBI and advise companies on their IPOs, which includes advising on offer document, representation before the adjudicating officers of SEBI for various compliances. We render advise to companies raising money through secured and unsecured instruments and assist them in preparation and vetting of Prospectus and appraise them of all regulatory issues. 

We also advise venture capital and private equity funds and FIIs on structuring their investments into India vis-à-vis the Indian regulatory framework and taxation (offshore and onshore).  In addition, we conduct due diligence of Indian companies in which venture capitalists seek to invest. Our Counsels structure and negotiate all kind of agreements including shareholders agreements; subscription agreements; and preference share agreements, and advise on minority rights matters and exit strategies. We also advise companies on corporate structures, business plans and IPOs.
